Green Development Bank Limited (GRDBL) has announced its 12th Annual General Meeting (AGM) on the 27th of Chaitra, 2081. The AGM is scheduled to take place at Hotel Peace Palace in Baglung.
Among various agenda items, the AGM will approve the dividend for the fiscal year 2080/81. The 219th board meeting, held on Poush 02, has resolved to distribute 5.75% in bonus shares and a 0.3027% cash dividend (for taxation purposes) derived from the paid-up capital. Given that the company’s paid-up capital amounts to Rs. 53.87 crore, the value of the bonus shares totals Rs. 3.09 crore, while the cash dividend comes to Rs. 16.30 lakhs.
Additionally, there will be an agenda to ratify the auditor’s report alongside the profit and loss statements, financial documents, and cash flow reports, as well as to appoint an auditor for the fiscal year 2081/82. The agenda also includes the election of 2 directors from the public shareholding group and identifying appropriate institutions for potential merger or acquisition, signing a Memorandum of Understanding (MOU) if deemed suitable, and fulfilling necessary processes.
Following the distribution of bonus shares, the bank will offer rights shares valued at Rs. 630,713,200 at a 1:1.1071 ratio based on the post-bonus capital of Rs. 5,696,98,500. Following this issuance, the board is empowered to modify and update the bank’s Memorandum and Articles of Association as needed.
The book closure date is set for Chaitra 15. Therefore, investors holding shares prior to that date will be eligible for the dividend payout and will have the opportunity to attend the AGM.
